     .01% (.0001) of outstanding principal in excess of 40,000,000
     Billed quarterly in advance

  Authority Financial Advisor (for borrowers with an underlying rating lower than an "A" category
  from Standard & Poor's or Moody's).
     .15% (.0015) of principal amount
     Minimum Fee: $5,000
     Maximum Fee: $30,000
     Note: Authority to pay one-half of Financial Advisor Fee except on programs/pools


  Authority General Counsel
     Firm's standard hourly rates plus out-of-pocket expenses (averages $10,000 - $15,000)
