Project/Plan of Finance Details/Notes: Proposed issuance by the Authority of qualified 501(c)(3) revenue bonds, the interest on which may be either taxable or tax-exempt to the holder, (the “Bonds”) as part of a plan of finance in a maximum principal amount not to exceed $425,000,000 to make a loan to the Borrower, a Missouri nonprofit corporation, and its wholly-owned affiliates, Freeman Neosho Hospital, a Missouri nonprofit corporation, Ozark Center, a Missouri nonprofit corporation, and Freeman Health System NWA, LLC, an Arkansas limited liability company and disregarded entity for federal tax purposes (collectively, the “Obligated Group Members”).
The Bond proceeds are expected to be used for the following purposes of the Borrower and the Obligated Group Members, as applicable: (1) to finance or refinance the costs of acquisition, construction, development, improvement, extension, repair, equipping, furnishing and installation of health facilities and related capital assets, including (a) the acquisition of the assets associated with the acquisition of Freeman Health System-Bentonville Medical Center, Freeman Health System-Springdale Medical Center, Freeman Health System-Siloam Springs Medical Center, and Freeman Health System-Willow Creek Medical Center at the locations in the State of Arkansas more fully described below (the “Northwest Arkansas Acquisition”), (b) construction of an electrophysiology lab in Joplin, Missouri; (c) acquisition of and renovations to an approximately 85,000-square-foot building to support outpatient care and diagnostic services in Joplin, Missouri, (d) capital expenses related to a new electronic medical record system and a new enterprise resource planning system for the Obligated Group Members, (e) expansion of the Obligated Group Members’ radiation oncology and linear accelerator facility in Pittsburg, Kansas, (f) acquisition of and renovations to a building at 4001 Richard Joseph Boulevard, Joplin, Missouri expected to be used as administrative and support offices and (g) other capital expenditures at the locations listed below and working capital; and (2) to refund all, none, or a portion of the obligations of the Obligated Group Members relating to the following: (a) The Industrial Development Authority of the City of Joplin, Missouri Hospital Revenue Bond (Freeman Health System), Series 2009; (b) the Authority’s Health Facilities Revenue Note (Freeman Health System), Series 2025; and (c) certain outstanding bank loans of the Obligated Group Members (collectively, the “Refunded Obligations”). The proceeds of the Refunded Obligations were used to finance and refinance capital projects of the Obligated Group Members, including those located at the locations listed below. The Obligated Group Members, at their discretion, may allocate Bond proceeds to finance, reimburse or refinance all, a part, or none, of each portion of the facilities at the various locations, may allocate proceeds of tax-exempt and/or taxable bonds to such facilities, and may determine the obligations listed above and portions thereof, if any, that will be refinanced. The Obligated Group Members expect to spend the Bond proceeds at the following locations in the following amounts:
Northwest Arkansas Acquisition
- Freeman Health System – Springdale Medical Center: Primary address: 609 W. Maple Avenue, Springdale, Arkansas; campus description: area generally on both the north and south sides of West Maple Avenue, between Maple Drive to the east, Thompson Street/U.S. Highway 71B to the west, and Quandt Avenue to the south, including the following Springdale Medical Center locations: 601 W. Maple Avenue, Springdale, Arkansas, 708 Quandt Avenue, Springdale, Arkansas, 712 W. Maple Avenue, Springdale, Arkansas and 515 S. Thompson Street, Springdale, Arkansas. Expected amount: $120,000,000
- Freeman Health System – Bentonville Medical Center: Primary address: 3000 Medical Center Parkway, Bentonville, Arkansas; campus description: area generally bounded by SE 28th Street to the north, Medical Center Parkway to the east and to the south, and SE John Rollow Drive to the south and the west, including the following Bentonville Medical Center location: 2900 Medical Center Parkway, Bentonville, Arkansas.
