Project/Plan of Finance Details/Notes: The Authority will hold a public hearing at its office (address above) on June 30, 2025 at 10:00 A.M., regarding a plan of finance, that includes the proposed issuance by the Authority of one or more debt obligations anticipated to be qualified 501(c)(3) revenue notes in the aggregate principal amount not to exceed $170,000,000 (the “Notes”) for the purpose of making funds available to the Obligors, each a Missouri nonprofit corporation, to finance and reimburse the Obligors and affiliates for the costs of certain health facilities and equipment, including, tangible and intangible capital assets of the Obligors and affiliates, including certain capital and directly related working capital expenses and assets for electronic medical records and enterprise resource planning systems projects and other miscellaneous capital expenditures of the Obligors. The facilities of the Obligors and their affiliates at which the financed property may be located are described below by reference to their principal addresses and/or boundary streets or geographic boundaries. The Obligors at their discretion, may allocate up to the entire maximum principal amount of proceeds of the Notes and/or Obligor equity to finance or reimburse all, a part, or none, of each portion of the facilities at the various locations.

The Original Facilities were financed with a portion of the proceeds of: (i) the Authority’s $79,475,000 original principal amount Senior Living Facilities Revenue Bonds (Lutheran Senior Services Projects) Series 2014A (the “2014A Bonds”) as refinanced by the Authority’s $79,235,000 original principal amount Senior Living Facilities Revenue Bonds (Lutheran Senior Services Projects) Series 2024A (the “2024A Bonds”), (ii) the Authority’s $100,680,000 original principal amount Senior Living Facilities Revenue Bonds (Lutheran Senior Services Projects) Series 2016B (the “2016B Bonds”), (iii) the Authority’s $10,520,000 original principal amount Senior Living Facilities Revenue Bonds (Lutheran Senior Services Projects) Series 2016C (the “2016C Bonds”), and (iv) the Authority’s $123,915,000 original principal amount Senior Living Facilities Revenue Bonds (Lutheran Senior Services Projects) Series 2019C (the “2019C Bonds” and together with the 2024A Bonds, the 2016B Bonds, and the 2016C Bonds, the “Prior Bonds”). Upon the sale of the Original Facilities, the Borrower plans to treat portions of the Prior Bonds, to the extent proceeds of which are allocable to the Original Facilities, as one or more new issues of tax-exempt qualified 501(c)(3) bonds for certain federal tax purposes (the “Reissued Bonds”). The Borrower plans to allocate proceeds of the Reissued Bonds to finance the payment of the costs of acquiring, constructing, reconstructing, repairing, altering, improving, extending, equipping and furnishing health and senior living facilities owned, operated or managed by the Borrower and its affiliates, including, without limiting the foregoing, to finance facilities at the following senior living communities owned or to be owned by the Borrower or its affiliates in Missouri.
